| This has reference to your application and the personal interview you had with us. Management is pleased to confirm your appointment as per the following terms and conditions. |
| 1. Designation : |

| 5. Remuneration Structure: remuneration structure shall be as described in Annexure “A”. |
| 6. Probation & Confirmation: |
| 6.1 You shall be on probation for a period of One Year. During the probation period, the Company would have a sole discretion regarding the termination or extension of the said period. |
| 6.3 Beyond 6 months, Probation period can be extended by 3 (three) months if the performance level of the employee is not up to the mark. Probation extension cannot be extended beyond three months, after which either your employment will be Confirmed or your probation will be terminated based on your performance during the probation period. |
| 7. Transfers: |
| You will be posted , Uttar Pradesh. You may however be required to work anywhere within India. You are liable to be transferred to any place at the discretion of the management without assigning any reason. You shall perform such duties as may be applicable in the transferee division/firm/company etc. |
| 8. Hours of Work: |
| The normal working days are from Monday to Saturday being off days. You will be required to work for such hours as necessary for the proper discharge of your duties to the Company. You are expected to work not less than 8 hours each day excluding break. |
| 9. Leave/Holidays (Sec. 4.2): |
| 9.1 Casual Leave: You are entitled to casual leave of twelve [12] days in a financial year. |
| 9.2National and Festival Holidays: The Company shall notify a list of declared National and Festival holidays in the beginning of each financial year. |
| 9.3 You will be required to give verbal/written communication to your supervisor/HR section in case of your absence from work for any reason as mentioned in the HR Manual. All leaves are subject to approval as per procedure. |

| Annual performance reviews of all staff members are carried out as per company policy pertaining to annual appraisal policy, subject to financial health of the company. |
| 12. Company property |
| You will always maintain Company property in good condition, which may be entrusted to you for official use during the course of your employment and shall return all such property to the Company prior to relinquishment of your charge, failing which the damages or losses will be recovered from you by the Company. |
| 13. Borrowing/accepting gifts |
| You will not borrow or accept any money, gift, reward or compensation for your personal gains or derive any pecuniary benefits from any person/client with whom you may be dealing officially. |
| 14. Termination: |
| 14.1 The notice period for termination / resignation will be 15 days (in case of probation period) or 30 days (in case of confirmed Employment) of prior notice in writing or gross salary in lieu thereof from either side. |
| 14.2 The Company reserves the right to terminate your employment summarily without any notice period or termination payment, if it has reasonable ground to Believe you are guilty of gross misconduct, indulged in act of insubordination, interference, corrupt practices, non-compliance with the administrative orders, provision of service rules, regulation, conditions or negligence, or have committed any fundamental breach of contract or caused any loss to the Company. |
| 14.3On the termination of your employment for whatever reason, you will return to the Company all property; documents and paper, both original and copies thereof, including any samples, literature, contracts, records, lists, drawings, blueprints, letters, notes, data and the like; and Confidential Information, in your possession or under your control relating to your employment or to clients’ business affairs. |
| 14.4In case of your leaving the job or termination of the same in any way, final accounts including terminal or retrial benefits can only be settled after you handover the charge to the person nominated by the company and deliver to him all documents, correspondence, information, notices, goods, stored data and other various materials supplied to you by the company failing which, the company shall have the rights to withhold the payment of your dues. |
| 15. Concealment & other regulations: |
| 15.1 During your employment with the Company you shall not, directly or indirectly, engage or associate yourself with, be connected with, concerned, employed or engaged in any other business or activities or any other post or work part time, whatsoever, without the prior permission of the Company. |
| 15.2 You must always maintain the highest degree of confidentiality and keep confidential the records, documents and other Information relating to the business of the Company which may be known to you or confided in you by any means and you will use such records, documents and information only in a duly authorized manner in the interest of the Company. For the purposes of this clause ‘Confidential Information’ means information about the Company’s business and that of its customers which is Not available to the general public and which may be learnt by you in the course of your employment. This includes, but is not limited to, information relating to the organization, its customer lists, employment policies, personnel, and information about the Company’s products, processes including ideas, concepts, projections, technology, manuals, specifications, and all papers, records and other documents containing such Confidential Information. |
| 15.3 At no time, will you remove any Confidential Information from the office premises without permission. |
| 15.4 Your duty to safeguard and not disclose Confidential Information will impact the expiration or termination of this Agreement and/or your employment with the Company. |
| 15.5 Breach of the conditions of this clause will render you liable to summary dismissal under clause 13.2 in addition to any other remedy the Company may have against you in law. |
| 16. Applicability of Company Policy |
| You shall be governed by the HR Policy manual of the company. The Company reserves the right to make policy declarations and changes as and when required pertaining to all HR related matters. All such policy decisions of the Company shall be binding on you and shall override this Agreement to that extent. All such information shall be notified to employees by means of official circulars. |
| 17. Governing Law/Jurisdiction |
| Any disputes / conflict arising in future will be governed as per applicable legal legislation & its compliances and rules. |
